Terms of Use, No Reliance, and Release

By purchasing, downloading, accessing, or using the Shop Class Operators Blueprint, including every guide, project plan, checklist, printable sheet, template, call, email, message, or conversation with us (together, the "Materials"), you ("you") agree to these terms. If you do not agree, do not use the Materials and contact us for a refund under the terms on our sales page.

1. WHAT THE MATERIALS ARE: OUR EXPERIENCE AND OPINION

The Materials are our advice, opinions, and insight, based on what has worked for us running our own youth shop classes in one location. The nine guides are: Tools & Workstations; Project Plans Library; How to Teach a Class; Operations, Prep & Setup Checklists; Posters & Classroom Materials; Pricing Classes & One-Offs; Finding Students & Homeschool Communities; Getting Business Contracts; and Scholarships & Funding Sources. This is one operator's experience. It is not a formula, a standard, or a promise that the same approach will work for you. Your market, your state, your skills, your timing, and your effort are different from ours.

2. NOT PROFESSIONAL ADVICE

Nothing in the Materials is legal, tax, accounting, insurance, financial, investment, employment, or child-safety advice, or advice from any licensed professional. We are not attorneys, accountants, insurance agents, or financial advisors. Anything about business structure, pricing and taxes, grants and scholarships, insurance, licensing, waivers, or regulation is general information only. The guide titled "Getting Business Contracts" describes how we find, win, and serve business clients. It does not include, and is not, a contract, a contract template, or a review, explanation, or negotiation of any contract or agreement, and nothing in the Materials is advice about the terms of any contract. Before you rely on any of it, you agree to consult a qualified professional licensed in your state.

3. NO GUARANTEE OF RESULTS

We make no promise or guarantee about any outcome from using the Materials, including income, profit, enrollment, number of students, business contracts or clients found, won, or served, grants or scholarships received, referrals, growth, or success of any kind. Prices, class sizes, timelines, numbers, and examples in the Materials are examples from our business. They are not predictions, forecasts, or typical results. Many people who read business guidance do not achieve the results they hope for.

4. YOUR DECISIONS ARE YOUR OWN

You decide whether, how, and when to use any advice or idea in the Materials. You are solely responsible for every decision you make and every result that follows, including financial decisions, money you spend or invest, agreements you sign, how you price, who you hire or accept, and how you run, supervise, and insure your classes. Before you sign any contract or agreement with a school, business, organization, venue, or customer, you agree to have it reviewed by an attorney of your choosing. You agree that you are not relying on any statement, promise, or advice from us that is not written in these terms and the Materials, and that nothing said on a call, in a message, on social media, or in a video changes these terms.

5. CALLS AND ONE-ON-ONE CONVERSATIONS

Any call or conversation with Mike Herod is a general discussion of his experience and opinions. It is not professional advice, it does not create an advisor, consulting, fiduciary, or attorney-client relationship, and it carries no guarantee of results. You remain responsible for your own decisions.

6. LAWS, LICENSES, AND INSURANCE

Rules differ by state, county, city, and venue, and they change. Information in the Materials about licensing, teacher requirements, waivers, insurance, funding, or regulation may be incomplete, may not apply where you operate, and may be out of date. You are responsible for learning and following every law, license, permit, background-check requirement, zoning rule, and venue rule that applies to you. Sample sheets, forms, and templates in the Materials are starting points only, are not legal advice, and may not be valid or sufficient where you operate.

7. THIRD-PARTY INFORMATION

The Materials may mention organizations, funding sources, programs, products, vendors, websites, or prices. We do not control them, we do not endorse or guarantee them, and the information may change or become inaccurate without notice. Check everything yourself before you rely on it.

8. YOUR CLASSES, YOUR PARTICIPANTS, AND PARTICIPANT INJURY

(a) You are the operator. You run your classes. VoSKILL does not supervise, control, staff, schedule, or take part in your classes, has no relationship with your participants or their families, and does not accept any duty to them. You are solely responsible for the safety of every child and adult who takes part in any class or activity you run, host, or allow, whether or not it uses the Materials.

(b) You decide everything that affects safety. You alone decide which tools, projects, ages, skill levels, student-to-adult ratios, supervision methods, spaces, and rules you use, who you accept, who you hire, and whether any adult working with children has been screened as required by law and prudence. Tools, ratios, ages, rules, and safety sheets in the Materials are what work for us. They are not a standard, a certification, or a promise that they are sufficient for your classes. If the Materials and your own judgment, your venue, your insurer, or your state's rules ever conflict, follow the stricter one.

(c) Risk. Woodworking and tool use carry real risks, including serious injury or death, and the risk is higher with children. You knowingly accept all risks that come from using the Materials and from teaching or taking part in any activity based on them.

(d) Participant waivers and parent consent. Before any child takes part in any class you run, you agree to obtain a signed participation agreement and parent or guardian consent for that child, written or reviewed by an attorney licensed in your state. You agree that each such agreement will, to the fullest extent allowed by law, release claims against you and against the providers of the curriculum and materials you use, including VoSKILL, LLC and its owner [attorney to confirm wording and enforceability in each state].

(e) Insurance. Before you run any class, you agree to carry general liability insurance that covers youth instruction and the activities you run, in limits at least [attorney and insurance agent to set, for example $1,000,000 per occurrence], and to keep it in force as long as you use the Materials. Where your insurer allows it, you agree to name VoSKILL, LLC as an additional insured and to provide proof on request.

(f) Notice of claims. You agree to tell us within [10] days if any claim, demand, complaint, or lawsuit names or mentions VoSKILL, the Materials, or Mike Herod in connection with an injury, and to cooperate with our defense.

9. RELEASE AND WAIVER

To the fullest extent allowed by law, you release and forever discharge VoSKILL, LLC, its owner Mike Herod, and its members, employees, contractors, volunteers, and agents (the "Released Parties") from any claim, demand, loss, or liability, including claims based on negligence, arising from or related to the Materials, any advice or information in them, or any class, business, or activity based on them. This release covers financial loss, lost profits, business failure, legal or regulatory problems, injury, death, and property damage, whether to you or to any other person, including any participant, helper, or child.

10. INDEMNITY

You agree to defend, indemnify, and hold harmless the Released Parties from any claim, suit, cost, or expense (including reasonable attorney fees) brought by any person, including a participant, a participant's parent or guardian, a helper, a customer, a venue, an insurer, or a government agency, that arises from your business, your classes, your instruction, your supervision, your staff, your venue, your equipment, your agreements, or your breach of these terms. This includes any claim by an injured participant or family member that the Materials were inadequate, incomplete, incorrect, or a cause of the injury, to the fullest extent allowed by law.

11. NO WARRANTY

The Materials are provided "as is" and "as available." To the fullest extent allowed by law, we disclaim all warranties, express or implied, including accuracy, completeness, currentness, fitness for a particular purpose, and non-infringement.

12. LIMIT OF LIABILITY

To the fullest extent allowed by law, the total liability of the Released Parties for any claim related to the Materials will not exceed the amount you paid for them. The Released Parties are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost opportunity, or business interruption.

13. OUR BRAND AND OUR MATERIALS

Buying the Materials does not give you the right to use the VoSKILL name, logo, or branding, to say you are affiliated with, licensed by, or endorsed by VoSKILL, or to run classes as VoSKILL. Where the Materials include unbranded versions of printable sheets, you may use them under your own name for your own classes. You may not copy, resell, share, post, or distribute the Materials, or let anyone else use your access, without our written permission.

14. REFUNDS

The delivery and refund terms stated on our sales page at the time of your purchase apply to your purchase.

15. CHANGES

We may update the Materials and these terms. Updated terms apply to purchases and downloads made after the update. For existing buyers, an update applies once we give you notice and you keep using the Materials.

16. GENERAL

These terms are governed by the laws of the State of Florida, and any dispute will be brought in the state or federal courts located in Palm Beach County, Florida [attorney to confirm venue and any arbitration clause]. If any part of these terms is found unenforceable, the rest stays in effect. These terms are the entire agreement between you and VoSKILL about the Materials.

ACCEPTANCE

By checking the box at checkout, replying "I agree" to our email, or using the Materials, you confirm that you have read these terms, understand them, are at least 18 years old, and agree to be bound by them.
